When does it restart: After booting up, OS, during games? Does it continually reboot afterwards? Also is it reproducable on purpose?

As a stab in the dark I would have to say to test your memory out. This happened on my previous computer and only when playing WoW and only very randomly. The be program I've ever used was the Microsoft "Windows Memory Diagnostic" program.
http://oca.microsoft.com/en/windiag.asp
It was the only program out of the ones I used that found the error. Basically it makes an image on a floppy disk or .iso for a CD/DVD. Pop it in during boot and it'll run. Pretty simple and it will find issues. If you have more than 4GB of ram it will not be able to search as it is just a 32 bit program, but I'm probably the only person around locally to be that stupid (and I only use 32 bit XP haha).

I only have a 430W PSU in my gaming box.

I've never used that particular mem testing program. (Memtest 386+ for me :) ). How long does it take to do a single pass?

do you even need anything but an exhaust fan? what are your temps with just an exhaust fan...fans doesnt mean performance, with good cable managment, and proper airflow, you could easily due with just 2 fans, and also, using every plug on one cable will cause your psu to act up..(happened in my old computer) i was pushing the limit of the PSU and had to spread the power draw over all the rails evenly to get it to even boot properly...another thing wattage means squat in this day and age, what are the rated amps (the pushing power on the rails) thats the important thing. just a look at your specs i would say a 20a 12v is a definate and a strong 5a as well...

I'd try running just 2 sticks.
